Welcome to FlipPC. By accessing or using our service, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By creating an account or using FlipPC, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you may not use our service. We reserve the right to modify these terms at any time, and continued use constitutes acceptance of any changes.

2. Eligibility

You must be at least 18 years old to use FlipPC. By using our service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these terms.

3. Account Registration and Security

3.1 Account Creation

To use FlipPC, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain and update your account information
  • Keep your account credentials secure
  • Not share your account with others
  • Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

4. Subscription and Billing

4.1 Plans

FlipPC offers both free and paid subscription plans. Plan features and pricing are described on our Pricing page and may change with notice.

4.2 Billing

  • Premium subscriptions are billed monthly in advance
  • Payments are processed through Polar.sh
  • You authorize us to charge your payment method on file
  • All fees are non-refundable except as required by law
  • Failure to pay may result in service suspension or termination

4.3 AI Credits

Premium plans include AI credits for features like spec extraction and benchmarking. Credits reset monthly and do not roll over. Usage beyond included credits may incur additional charges or feature restrictions.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial periods.

5. Acceptable Use Policy

You agree not to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer, decompile, or disassemble our service
  • Use automated tools to scrape or extract data
  • Resell or redistribute our service without permission
  • Use the service for illegal activities or fraud
  • Harass, abuse, or harm other users
  • Submit false or misleading information

6. User Content and Data

6.1 Your Content

You retain ownership of all data you submit to FlipPC (inventory data, pricing, notes, etc.). By using our service, you grant us a license to use, store, and process your content to provide our services.

6.2 Content Responsibility

You are solely responsible for your content and represent that you have all necessary rights to submit it. You agree that your content does not violate any third-party rights or applicable laws.

6.3 Data Backup

While we implement backup procedures, you are responsible for maintaining your own backups of critical business data. We are not liable for data loss.

7. AI-Powered Features

FlipPC uses AI to extract specifications, generate benchmarks, and provide other features. You acknowledge that:

  • AI-generated data may not always be 100% accurate
  • You should verify critical information independently
  • We are not liable for decisions made based on AI-generated data
  • AI features are provided "as-is" without warranties
  • We may use aggregated, anonymized data to improve AI models

8. Intellectual Property

FlipPC and its original content, features, and functionality are owned by FlipPC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks may not be used without prior written consent.

9. Service Availability and Modifications

9.1 Availability

We strive to provide reliable service but cannot guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or modifications that temporarily affect availability.

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of our service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

10. Third-Party Services and Links

Our service may integrate with or link to third-party services (Convex, OpenAI, Polar.sh, etc.). We are not responsible for third-party content, services, or their terms. Your use of third-party services is governed by their respective terms and privacy policies.

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The service will be uninterrupted or error-free
  • Defects will be corrected
  • The service is free of viruses or harmful components
  • Results obtained will be accurate or reliable

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLIPPC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

Our total liability to you for all claims arising from or related to the service shall not exceed the amount you paid us in the 1 months preceding the claim, or $10, whichever is less.

13. Indemnification

You agree to indemnify, defend, and hold harmless FlipPC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use or misuse of the service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or data

14. Termination

14.1 By You

You may terminate your account at any time by contacting support or through your account settings.

14.2 By Us

We may suspend or terminate your account immediately, without prior notice, if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activities
  • Pose a security or legal risk

14.3 Effect of Termination

Upon termination, your right to use the service ceases immediately. We may delete your data in accordance with our Privacy Policy. Sections that should survive termination (including payment obligations, disclaimers, and limitation of liability) will remain in effect.

15. Dispute Resolution and Governing Law

15.1 Informal Resolution

Before filing a claim, you agree to contact us at volkovolko76 [at] gmail.com to attempt to resolve the dispute informally. We will try to resolve disputes in good faith.

15.2 Governing Law

These Terms are governed by and construed in accordance with French law, without regard to conflict of law principles.

15.3 Jurisdiction and Consumer Mediation

Any disputes that cannot be resolved informally shall be brought before the competent French courts.

In accordance with French consumer law, for any consumer disputes, you may use the European Online Dispute Resolution platform: ec.europa.eu/consumers/odr

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlipPC and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
